Service Agreement
A clear framework for working together, defining project scope, responsibilities, payments, timelines and deliverables between DigitalPixelora and its clients.
Parties To The Agreement
This Service Agreement is entered into between DigitalPixelora, referred to as the "Agency" , and the individual, business or organization purchasing or engaging for services, referred to as the "Client."
Service Provider
DigitalPixelora
Digital design, development, marketing and consultancy services.
Client
Client / Company Name
As specified in the applicable proposal, quotation or order.
Scope Of Services
DigitalPixelora will provide the services described in the applicable proposal, quotation, package, invoice or written project brief accepted by the Client.
Services may include website development, graphic design, branding, SEO, social media marketing, digital strategy, consultancy, content creation and other digital services agreed between the parties.
Project Scope
Any service, feature, integration, revision, page, design asset or deliverable not included in the agreed scope may be treated as additional work and may require additional fees.
Deliverables
Deliverables will be determined according to the selected package or agreed project scope.
Design Deliverables
Approved designs, graphics, layouts, brand assets or visual materials included in the project.
Development Deliverables
Websites, features, integrations or development work included in the agreed scope.
Marketing Deliverables
SEO, social media, campaign or marketing deliverables specifically listed in the selected service.
Final Handover
Final approved files or access will be provided according to the agreed project terms.
Project Timeline
Estimated delivery timelines will be communicated before or during project commencement based on the agreed scope.
Project Start
Work generally begins after the required information, materials and initial payment have been received.
Review & Feedback
Client feedback and approvals should be provided within a reasonable timeframe to avoid project delays.
Final Delivery
Final deliverables are supplied after completion and approval of the agreed project scope.
Client Responsibilities
The Client agrees to provide the information, content, access and cooperation reasonably required for DigitalPixelora to perform the services.
- ✓ Provide accurate project information, requirements and content.
- ✓ Provide necessary website, hosting, social media or platform access where required.
- ✓ Review and approve work within reasonable timeframes.
- ✓ Ensure that supplied materials may legally be used for the project.
Payment Terms
Project pricing and payment schedules will be specified in the applicable proposal, quotation, invoice or package selected by the Client.
Agreed Price
Client agrees to pay the amount specified for the selected service.
Payment Schedule
Advance, milestone or recurring payments will follow the agreed terms.
Outstanding Amounts
Outstanding payments may affect delivery, access or continuation of the project.
Revisions & Changes
The number of revisions included in a project will depend on the selected package or agreed scope.
Requests that significantly change the original requirements, approved direction or project scope may be treated as additional work and may require additional fees.
Important
Revisions are intended to refine agreed deliverables. They are not intended to restart or completely replace the original project direction unless separately agreed.
Intellectual Property & Ownership
Ownership and usage rights for final deliverables will depend on the applicable project agreement and payment status.
DigitalPixelora retains ownership of its pre-existing tools, frameworks, templates, processes, reusable components and internal resources unless expressly transferred in writing.
Third-party assets, fonts, stock images, plugins, software and other licensed materials remain subject to their respective licenses and terms.
Confidentiality
Both parties may receive confidential or commercially sensitive information during the course of a project.
Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorized third parties except where required by law or necessary to perform the agreed services.
Confidential Information
This may include business information, login credentials, project documents, marketing plans, customer information, source files and other non-public information shared for project purposes.
Termination
Either party may request termination of a project subject to the terms agreed for that engagement.
If a project is terminated after work has started, the Client may remain responsible for payment for completed work, approved expenses, committed third-party costs and other amounts due under the agreement.
Any handover of completed work following termination will be handled according to the applicable payment and project terms.
Liability
DigitalPixelora will use reasonable professional care in delivering the agreed services. However, digital projects may depend on third-party platforms, hosting providers, APIs, software, advertising networks and other external systems.
DigitalPixelora is not responsible for failures, interruptions, changes or losses caused by circumstances outside its reasonable control.
Nothing in this agreement is intended to exclude or limit any liability that cannot legally be excluded or limited under applicable law.
Events Beyond Reasonable Control
Neither party will be considered in breach of this agreement for delays caused by circumstances beyond reasonable control, including significant technical failures, internet outages, natural events, government actions, third-party service outages or other events that could not reasonably be prevented.
